Wedding audio capture and interactive gallery service.
1. Parties and Contract Formation
This Client Services Agreement (the “Agreement”) is between:
- Reverbs (“Reverbs,” “we,” “us,” or “our”), of 1210 Southwood Dr, Ottawa, ON K2C 3C3; and
- The Client (the couple booking the wedding), whose names and contact details are set out in the Order Summary below. Where two people are signing as the Client, they are jointly the Client and each has authority to act for the other under this Agreement.
This Agreement is formed when the Client completes checkout on the Reverbs website (or signs this Agreement directly) and Reverbs confirms the booking. The Order Summary forms part of this Agreement.
2. Order Summary
The Order Summary captures this booking. It is filled in at checkout and forms part of this Agreement. The Order Summary records:
- The Client’s name(s), email(s), and phone;
- The wedding date and city, and the venue if known;
- The planner code applied (if any);
- The base package ($1,400 + HST when paid in full; $1,750 + HST on the monthly plan) and any add-ons (LP at $495 + HST, or included as a planner-access gift);
- Whether the Client pays in full (with the 20% pay-in-full discount applied) or on the monthly plan (the regular price); and
- The subtotal, any pay-in-full discount, HST, and total payable.
3. The Reverbs Service
3.1 What Reverbs Provides
Reverbs is an independent wedding audio capture and interactive gallery service. The base package includes:
- Up to ten (10) continuous hours of professional audio capture by one Reverbs audio artist on the wedding day, covering ceremony, vows, speeches, family and friend voice moments, first looks and similar key moments, and ambient atmosphere across the day;
- Production of an interactive online photo-and-audio gallery built from the captured audio and the final edited photographs uploaded by the Client;
- Six (6) months of free hosted access to the online gallery starting on the date the gallery is delivered, after which continued hosted access is available by paid subscription as set out in Section 11;
- A processed final-audio download package, including a continuous chronological file and chaptered files, made available through the Client’s portal account; and
- Customer support through the Client’s portal account.
Optional add-ons (LP, additional coverage hours) are described in this Agreement and itemised in the Order Summary.
3.2 What Reverbs Is Not
To set fair expectations:
- Reverbs is not a videography service. The deliverable is a photo-and-audio gallery, not a video.
- Reverbs is not an audio guestbook, formal-interview service, or content-creator service.
- Reverbs does not directly provide photography. The gallery depends on photos taken by the Client’s photographer and uploaded by the Client.
3.3 Best-Efforts Standard
Reverbs will perform the Service using professional skill and reasonable care, consistent with industry standards for wedding audio capture and gallery production. Real wedding-day conditions vary, and Reverbs does not guarantee:
- Specific audio quality outcomes;
- Capture of every moment, person, conversation, or guest;
- Capture of any specifically requested moment or interaction;
- Perfectly clear audio in all conditions, in all locations, or for all speakers; or
- Delivery of the full interactive gallery if the Client does not upload final edited photographs in accordance with Section 9.
Nothing in this Section limits any condition or warranty implied by law that cannot be excluded by contract.
4. Coverage and Wedding-Day Timeline
4.1 Up to Ten Continuous Hours
The base package includes up to ten (10) continuous hours of audio coverage on the wedding day. Coverage is continuous, not split. The base price does not change if the Client uses fewer than ten (10) hours.
4.2 Coverage Schedule
Reverbs recommends that the coverage schedule mirror the photographer’s schedule, because the gallery experience depends on photographs corresponding to captured audio.
The Client must provide a photography-style wedding timeline through the Reverbs portal in advance of the wedding.
The coverage schedule must be confirmed no later than two (2) weeks before the wedding date. After confirmation, changes to the coverage window may not be possible.
4.3 Extra Hours
If the Client needs more than ten (10) hours of coverage, additional hours can be added at $150 + HST per additional hour. Extra hours can be added through the Reverbs portal or directly with Reverbs during planning. Extra hours can be added until the coverage schedule is confirmed under Section 4.2 and not later than two (2) weeks before the wedding date.
4.4 Audio Artist Assignment
Reverbs assigns the audio artist for the wedding. Reverbs may change the assigned audio artist at any time before or during the wedding day, including in the case of illness, emergency, or for operational reasons. Reverbs maintains an emergency replacement network and will use reasonable efforts to deliver coverage in the event of an audio artist issue.
5. Audio Capture, Equipment, and Guest Voices
5.1 Authorization to Capture
The Client authorizes Reverbs and its audio artist to capture audio at the wedding, including:
- Ceremony audio, including vows;
- Speeches and toasts;
- Voices of family, friends, and guests speaking in the Client’s presence or as part of wedding events;
- Casual voice moments captured naturally during the wedding day;
- Ambient sound, room tone, and location atmosphere; and
- Any incidental sound, including incidental music, captured in the course of audio coverage.
The Client confirms they have the authority to grant this authorization in respect of the wedding events held on the wedding date.
5.2 Lavalier Microphones
Reverbs uses lavalier (lapel) microphones for ceremony and speech-critical capture wherever feasible, unless the Client expressly declines lavalier use in writing before the wedding. Lavalier use depends on cooperation from those wearing them and on practical conditions on the day.
5.3 Guest Voice Moments
Reverbs’ audio artist may, when natural and appropriate, ask guests or family members to speak briefly for capture. Reverbs treats these moments as casual and unofficial, not as formal interviews or audio-guestbook segments. Any guest who indicates that they do not wish to be recorded will be respected.
5.4 Equipment and Conditions
Reverbs supplies professional capture equipment. Reverbs maintains backup equipment but cannot fully guarantee against equipment failure, lavalier interference, sound-system limitations, weather affecting outdoor capture, or other on-site conditions.
6. Pricing and HST
6.1 Base and Add-On Pricing
- Base package: $1,400 + HST when paid in full ($1,750 + HST on the monthly plan).
- LP add-on: $495 + HST (or included as a planner-access gift if a valid planner code is applied at checkout).
- Additional coverage hours: $150 + HST per hour, added during planning under Section 4.3.
- Pay-in-full discount: 20% off the order, applied when the Client pays the full amount in a single payment at checkout, and shown in the Order Summary. Catalog prices above are the pay-in-full prices; the monthly plan is the regular price (the pay-in-full price divided by 0.8).
6.2 HST
All prices in this Agreement are stated before Harmonized Sales Tax (HST). HST is added at checkout at the rate prescribed by law. The total payable, inclusive of HST and reflecting any pay-in-full discount, is shown in the Order Summary.
6.3 Currency
All amounts are in Canadian dollars.
6.4 Planner-Access LP Gift
Where a valid planner code is applied at checkout during a planner-access window, the LP is included at $0. The Order Summary displays the standard $495 value of the LP. Planner-access does not change the base price.
7. Payment
7.1 Pay in Full
The Client may pay the full amount at booking by credit card or another method offered by Reverbs at checkout. Payments are processed by Stripe.
7.2 Monthly Payment Plan
Where the wedding date is far enough in the future, the Client may elect a monthly payment plan, subject to the following:
- The monthly plan is billed at the regular price, with no fee or surcharge for paying monthly; paying the full amount in a single payment at checkout instead would apply a 20% pay-in-full discount;
- The plan must allow at least two (2) monthly payments — if the wedding is too close, the plan is automatically unavailable;
- The full amount must be paid no later than one (1) month before the wedding date;
- The number of payments, the amount of each payment, the final payment deadline, and the total amount payable are all set out in the Order Summary; and
- The 20% pay-in-full discount applies only to single-payment checkout and is not otherwise owed or refundable as a credit; choosing or reverting to the monthly plan simply means the regular price applies.
7.3 Late or Failed Payments
If a scheduled payment fails, Reverbs will contact the Client to resolve the issue. Reverbs handles late or failed payments case by case. Persistent non-payment may result in suspension of services, deferral of the wedding-day coverage until the balance is paid, or termination of this Agreement under Section 18.
8. Wedding Date, Capacity, and Rescheduling
8.1 Wedding Date
The wedding date and city set out in the Order Summary are the basis for capacity, scheduling, and audio artist assignment. A successful booking blocks the date in respect of the Client’s booking, subject to capacity rules.
8.2 Rescheduling by the Client
If the Client wishes to change the wedding date, the Client must notify Reverbs as soon as reasonably possible. Reverbs will use reasonable efforts to accommodate a new date, subject to:
- Reverbs’ capacity on the new date;
- Audio artist availability;
- A new coverage schedule confirmation under Section 4.2; and
- A possible rescheduling charge if accommodating the new date causes Reverbs to incur additional cost or to forgo another booking.
If Reverbs cannot accommodate the new date, Section 16 (Cancellation by the Client) applies.
8.3 Rescheduling by Reverbs
In the unlikely event Reverbs needs to reschedule because of an event affecting Reverbs’ ability to perform, Reverbs will offer the next available comparable date, refund any add-ons that cannot be delivered, or, if no acceptable alternative is available, refund amounts paid for services not yet delivered.
9. Photographs and the Couple’s Upload Obligation
9.1 Why Photo Upload Matters
The interactive gallery is built from the audio Reverbs captures and the final edited photographs the Client uploads through the portal after receiving them from the photographer. Reverbs does not depend on the photographer to upload photos directly.
9.2 Photographer Cooperation
Reverbs recommends, but does not require, that the Client ask their photographer to:
- Synchronize the camera clock to a reliable online time source before the wedding day;
- Preserve original timestamp metadata in the delivered files; and
- Provide the final edited photos in a format suitable for upload (typically JPEG).
These steps speed production but are not required for the gallery to be built.
9.3 The Client’s Upload Obligation
The Client agrees to upload final edited photos through the Reverbs portal after receiving them from the photographer. Reverbs will send reminders at:
- One (1) month after the wedding;
- Two (2) months after the wedding;
- Three (3) months after the wedding;
- One (1) week before the six-month fallback deadline; and
- One (1) day before the six-month fallback deadline.
9.4 Six-Month Fallback
If the Client has not uploaded final edited photos by six (6) months after the wedding date, Reverbs will:
- Deliver the processed audio in chronological order by download link, not synced to photographs;
- Open physical edition clip selection (if applicable); and
- Treat the contract obligation to deliver the interactive gallery as concluded.
After the six-month fallback, Reverbs is not obliged to build the interactive gallery even if photos are uploaded later, although Reverbs may agree to do so on terms to be discussed.
9.5 Photo Rights Warranty by the Client
When uploading photos, the Client confirms and warrants that the Client has the right to upload those photos and to authorize Reverbs to:
- Use the photos to build, host, and deliver the interactive gallery;
- Process and store the photos as part of producing the gallery; and
- Use the photos for portfolio, demo, and marketing purposes if the Client’s portfolio-use permission under Section 12 remains enabled.
The Client agrees to indemnify Reverbs against any third-party claim (including by a photographer or rights holder) that arises from the Client’s upload of photos in breach of this Section 9.5.
10. Gallery Production and Delivery
10.1 Production Time
Reverbs will produce and deliver the interactive online gallery within a reasonable period after the Client uploads final edited photographs and any required wedding details. Production timing depends on factors including audio quality, photo quality, the volume of accent material, and Reverbs’ production queue.
10.2 Gallery Contents
The gallery is a scroll-synced photo-and-audio experience. Audio is section-based: a continuous ambient base layer plays under each section of the day, with accent audio (such as ceremony, vows, speeches, and voice moments) layered on top within defined photo ranges. The gallery includes:
- An opening with the couple’s names and venue;
- A grid view of the wedding gallery and a one-photo-at-a-time alternate view;
- A faces-with-audio section enabling viewers to hear voices connected to people in the photos, where Reverbs has been able to make confirmed identity links;
- Vendor credits; and
- A processed audio download button.
10.3 Editorial Discretion
Reverbs exercises professional judgment in choosing which audio appears in the gallery and how it is presented. Reverbs is not obligated to include any specific audio or moment.
11. Gallery Hosting, Subscription, and Downloads
11.1 Free Period
The interactive online gallery is hosted free of charge for six (6) months from the date the gallery is delivered (the “Free Period”).
11.2 Subscription
After the Free Period, continued hosted access to the online gallery is provided on a paid subscription basis at $7.50 per month (plus HST). The subscription begins automatically at the end of the Free Period unless the Client cancels through the Client’s portal account. The Client may cancel at any time.
11.3 Processed Audio Downloads
On gallery delivery, Reverbs will make a processed audio download package available in the Client’s portal. The package includes:
- A continuous chronological processed audio file;
- Chaptered processed audio files; and
- A clean ZIP archive for easy download.
Reverbs strongly recommends downloading the package promptly. Reverbs will send reminders until download is confirmed and will track download status in the Client’s portal.
11.4 What the Client Owns
Yours to keep permanently: the processed audio files the Client downloads, and any LP delivered. These are not affected by gallery cancellation or deletion.
Access-based, not ownership: the interactive online gallery is hosted by Reverbs and accessed by the Client. The Free Period and the paid subscription provide continued access. The Client does not receive a copy of the gallery itself or the underlying gallery code, layout, or production files.
11.5 Cancellation and Deletion of the Gallery
Important — cancellation acknowledgement.
If the Client cancels the gallery subscription, the gallery is suspended and retained for six (6) months in an inactive state, during which the Client can reactivate by resuming payment. After six (6) months, the gallery is permanently deleted and cannot be recovered. Downloaded processed audio files and physical editions are unaffected.
Specifically:
- On cancellation, online gallery access and portal-download access end when the paid period ends;
- The gallery is retained for six (6) months after cancellation in a suspended/inactive state;
- During the six-month window, the Client can reactivate by resuming payment;
- After six (6) months, the gallery is permanently deleted and reactivation is not possible;
- The Client should download the processed audio package before access ends; and
- Galleries on an active paid subscription remain hosted indefinitely while the subscription is paid.
11.6 Subscription Changes
Reverbs may change the subscription price on at least sixty (60) days’ notice. The Client may cancel the subscription before any price change takes effect.
12. Portfolio, Demo, and Marketing Use
12.1 Default Permission
Unless the Client opts out under Section 12.2, the Client grants Reverbs a non-exclusive, royalty-free, worldwide licence to use the audio captured at the wedding and the photographs and gallery visuals uploaded by the Client for portfolio, demo, and marketing purposes, including on the Reverbs website, social media, planner-facing materials, and other promotional materials.
12.2 Account Toggle
The Client may revoke this permission at any time by changing a single portfolio-use toggle in the Client’s portal account. The toggle controls both:
- Audio captured by Reverbs; and
- Photographs and gallery visuals uploaded by the Client.
Revocation applies prospectively to new uses. Reverbs is not required to recall or take down materials that were already produced, distributed, printed, or published before revocation, but Reverbs will use commercially reasonable efforts to remove the Client’s wedding from the active Reverbs portfolio within a reasonable period after revocation.
12.3 Specific Removal Requests
If the Client wants a specific item of content removed after revocation, the Client should email Reverbs with details of where the content appears so Reverbs can address it.
12.4 Reasonable Care
Reverbs will use reasonable judgment in selecting portfolio material. Reverbs will not knowingly use material in a way that would be embarrassing, demeaning, or contrary to the spirit of the wedding. Where Reverbs uses guest voices in portfolio material, it will use the same care as for any sensitive material.
13. Privacy and Personal Information
13.1 Information Reverbs Handles
Reverbs collects, uses, and discloses personal information in connection with the Service, including the Client’s contact details, wedding details, photographs uploaded by the Client, voice recordings captured at the wedding, transcripts, and order/payment information.
13.2 Compliance with PIPEDA
Reverbs handles personal information in accordance with the Personal Information Protection and Electronic Documents Act (Canada) and applicable Ontario law. Reverbs’ privacy policy, available on the Reverbs website, sets out how personal information is collected, used, disclosed, retained, safeguarded, and how the Client may exercise privacy rights. The privacy policy is incorporated by reference.
13.3 Service Providers
Reverbs uses service providers (for payment processing, file storage, transcription, hosting, and similar functions) to deliver the Service. Reverbs requires those providers to handle personal information in a manner consistent with PIPEDA and this Agreement.
13.4 Raw Recorder Files
Raw recorder files captured at the wedding are internal production materials only. They are not delivered to the Client by default. Reverbs retains raw files for ninety (90) days after gallery delivery and processed-audio download availability, after which they are deleted, unless retention beyond that period is reasonably necessary for an issue, dispute, legal hold, or other justified exception.
13.5 Guest Voices
Guest voices captured at the wedding are personal information. The Client’s authorization in Section 5.1 is the basis for capture in the context of the wedding event. Reverbs uses guest voice material to deliver the Service to the Client and, where the portfolio toggle in Section 12 is enabled, in portfolio/demo/marketing materials. Reverbs respects any guest who indicates at the time of capture that they do not wish to be recorded.
14. LP Physical Edition
14.1 Optional Add-On
The LP is an optional physical archive of selected wedding audio. The base package does not include a physical edition unless one is included as a planner-access gift.
14.2 Selection Access
Clip selection becomes available after gallery delivery, or after delivery of the chronological processed audio under the six-month fallback in Section 9.4.
14.3 Selection Interface
The selection interface allows the Client to:
- Choose clips from prepared wedding clips;
- See remaining time on the LP;
- Order clips chronologically by default, or in custom order if preferred;
- Buy additional LP units in-flow if more time is needed; and
- Confirm overflow handling where a clip extends past the remaining time on the LP.
The same audio cannot be included twice on the same LP.
14.4 Six-Month Selection Deadline
Important — selection deadline.
If the Client does not complete clip selection within six (6) months of selection access being granted, Reverbs will automatically select clips chronologically (prioritising accent clips such as ceremony, vows, speeches, first looks, and family/friend voice moments) and produce and ship the physical edition to the address on file. The Client expressly authorizes this auto-selection and shipment.
Reverbs will send reminders before auto-selection is triggered. The Client may request an extension of the deadline by contacting Reverbs.
14.5 Shipping
The Client must provide a shipping address and keep it current. Shipping is from a Canadian fulfillment provider. Production timeline begins after clip selection is complete (or auto-selection is triggered). Production and shipping timelines vary and will be communicated through the Client’s portal.
14.6 Damage and Replacement
If a physical edition arrives damaged or defective, the Client must notify Reverbs within thirty (30) days of receipt with photographs of the issue. Reverbs will arrange a replacement at no additional cost where the issue is a manufacturing defect or shipping damage.
14.7 Incidental Music on Physical Editions
Where the wedding audio includes incidentally captured music, the Client acknowledges that the physical edition may include that incidental music. Reverbs does not add music to recordings.
15. Music and Copyright
15.1 Reverbs Does Not Add Music
Reverbs does not add separately licensed music to wedding audio.
15.2 Incidental Music
Music played at the wedding (such as DJ music, live performances, ceremony music, or guest singing) may be incidentally captured as part of the audio environment. The Client acknowledges that incidental music may appear in the gallery and physical editions.
15.3 Client Acknowledgement
The Client acknowledges that any cleared or licensed music remains the property of its rights holders and that Reverbs is not granting any music licence. Reverbs may, in its discretion, reduce, remove, or duck recognizable music to address quality, copyright, or distribution concerns.
16. Cancellation by the Client
16.1 Notice
The Client may cancel this Agreement at any time before the wedding by giving written notice to Reverbs (email is sufficient). Cancellation is effective on receipt by Reverbs.
16.2 Refunds on Cancellation
Reverbs commits resources to a wedding from the time of booking, including reserving capacity, declining other bookings on the same date, scheduling an audio artist, and beginning planning. Accordingly:
- Amounts paid before cancellation are non-refundable, except as set out below.
- If the Client cancels more than ninety (90) days before the wedding date and Reverbs has not yet incurred substantial cost, Reverbs may, in its discretion, refund a portion of amounts actually paid, less costs reasonably incurred.
- Where physical editions have not yet entered production at the time of cancellation, Reverbs will refund the price paid for those physical editions.
16.3 Subscription Cancellation
Cancellation of the gallery hosting subscription after gallery delivery is governed by Section 11, not this Section 16.
17. Cancellation or Non-Performance by Reverbs
17.1 Reverbs Commitment
Reverbs commits to delivering the Service. In the event Reverbs cannot perform on the wedding date, Reverbs will use commercially reasonable efforts to arrange replacement coverage from its trained audio artist network at no additional cost to the Client.
17.2 If Reverbs Cannot Deliver Coverage
If Reverbs is unable to deliver any wedding-day audio coverage at all, Reverbs will refund the full base package price paid by the Client and any add-on amounts for items not yet delivered. Where Reverbs delivers partial coverage (for example, due to mid-day equipment failure or audio artist incapacity), Reverbs will work with the Client to determine an appropriate adjustment.
17.3 Cap
Subject to Section 19 and to any condition or warranty implied by law that cannot be excluded by contract, Reverbs’ financial responsibility under this Section 17 is limited to a refund of amounts paid under this Agreement.
18. Force Majeure
18.1 Definition
A “Force Majeure Event” means an event beyond the reasonable control of either party, including natural disaster, severe weather affecting the venue or travel, fire or flood at the venue, public-health emergency or pandemic, government order or restriction, civil unrest, transportation failure, or serious illness or injury of a key person, that prevents performance of this Agreement in whole or in material part.
18.2 Effect
Neither party is liable for any failure or delay in performance caused by a Force Majeure Event, provided the affected party promptly notifies the other and uses reasonable efforts to mitigate. The parties will work together in good faith on a resolution, including:
- Rescheduling under Section 8;
- Substitution of an audio artist; or
- A refund of amounts paid for services not yet delivered, where rescheduling cannot be agreed.
18.3 Subscription
A Force Majeure Event affecting Reverbs’ hosting infrastructure does not entitle the Client to a refund of subscription fees, except where access is interrupted for an extended period (more than thirty consecutive days). In that case Reverbs will pro-rate or refund affected subscription periods.
19. Limitation of Liability
19.1 Cap
Subject to Sections 19.3 and 19.4, the total aggregate liability of each party to the other under or in connection with this Agreement is limited to the total amounts paid by the Client to Reverbs under this Agreement in the twelve (12) months preceding the event giving rise to the claim.
19.2 No Indirect Damages
Neither party is liable to the other for indirect, special, incidental, consequential, or punitive damages, or for loss of profit, business opportunity, or goodwill, even if advised of the possibility of those damages.
19.3 Carve-Outs
The limits in Sections 19.1 and 19.2 do not apply to:
- The Client’s indemnity under Section 9.5 (photo rights);
- Either party’s breach of confidentiality or privacy obligations;
- Liability for fraud or wilful misconduct; or
- Any liability that cannot be limited or excluded by law, including liability for breach of any condition or warranty implied by law that cannot be excluded by contract.
19.4 Consumer Rights Preserved
Nothing in this Agreement excludes, restricts, or modifies any non-excludable right or remedy of the Client under the Ontario Consumer Protection Act, the Sale of Goods Act, the Competition Act, or other applicable consumer-protection or sale-of-goods legislation.
20. Reviews and Feedback
The Client is free to publish honest reviews of Reverbs and the Service in any forum. Reverbs welcomes feedback and will not penalize the Client for, or attempt to restrict, the publication of honest reviews. Each party agrees not to make false or knowingly misleading statements about the other.
21. Termination by Reverbs
21.1 For Material Breach
Reverbs may terminate this Agreement on written notice if the Client materially breaches this Agreement and fails to cure the breach within fourteen (14) days of written notice describing it, or where the breach is incapable of cure.
21.2 For Non-Payment
Reverbs may terminate this Agreement if a payment under the payment plan is more than thirty (30) days overdue and remains unpaid after written notice and a reasonable opportunity to resolve the issue.
21.3 Effect
On termination by Reverbs under this Section 21, Reverbs is not required to deliver further Service, retains amounts paid up to the date of termination as compensation for work performed and resources committed, and will refund only amounts paid for distinct, undelivered services where Reverbs has not yet incurred substantial cost.
22. Notices and Communications
Notices under this Agreement must be in writing and are effective if delivered by email to the email address on file in the Client’s portal account (for notices to the Client) or to the Reverbs support email address published on the Reverbs website (for notices to Reverbs). Notices are deemed received on the day sent if sent before 5:00 p.m. local recipient time on a business day; otherwise on the next business day. The Client must keep the email address on file current.
23. General
23.1 Governing Law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles.
23.2 Forum
Each party submits to the non-exclusive jurisdiction of the courts of Ontario in respect of any dispute arising out of or in connection with this Agreement. Nothing in this Agreement requires arbitration or restricts the Client from commencing a proceeding under the Ontario Consumer Protection Act or any other applicable law.
23.3 Entire Agreement
This Agreement, together with the Order Summary and the Reverbs privacy policy, is the entire agreement between the parties on its subject matter and supersedes all prior discussions and arrangements.
23.4 Amendments
Reverbs may update operational policies (such as production timelines, gallery layouts, supported file formats, and similar matters) from time to time on reasonable notice, including through updates to the Reverbs website or portal. Material changes affecting the Client’s rights or the Client’s payment obligations require the Client’s express agreement.
23.5 Assignment
The Client may not assign this Agreement. Reverbs may assign this Agreement to an affiliate or to a successor in connection with a corporate reorganisation or sale.
23.6 Severability
If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified to the extent necessary to make it enforceable while preserving the parties’ intent. Where a provision is unenforceable because it conflicts with a non-excludable consumer-protection right, that right prevails and the rest of the Agreement continues to apply.
23.7 No Waiver
A waiver of any breach is not a waiver of any other or subsequent breach.
23.8 Electronic Signatures and Counterparts
This Agreement may be signed electronically and in counterparts, each of which is an original and which together form one document. The Client’s completion of checkout, including any explicit acknowledgements presented at checkout, constitutes signature.
24. Client Acknowledgements
By signing this Agreement (or completing checkout), the Client confirms each of the following:
- The Client has read and accepts this Agreement and the Reverbs privacy policy.
- The Client authorizes Reverbs and its audio artist to capture audio at the wedding as set out in Section 5.
- The Client understands and accepts the photo upload obligation and the six-month fallback in Section 9.
- The Client confirms they have, or will have, the right to upload final edited photos and to authorize Reverbs to use them as set out in this Agreement (Section 9.5).
- The Client understands the gallery hosting subscription, free period, and cancellation/deletion consequences in Section 11, including the six-month deletion window after cancellation.
- The Client understands the portfolio/demo/marketing default permission in Section 12 and knows how to revoke it.
- Where applicable, the Client understands the physical edition selection deadline and auto-selection in Section 14.
- Where applicable, the Client understands the monthly plan is the regular price and that paying in full earns a 20% discount, along with the payment schedule and final payment deadline in Section 7.
